Effective Date: January 1, 2025

These Terms govern all software development services provided by Ayoub Agoumi LLC (“Company”) to clients (“Client”).

Scope of Services

Services defined in written project proposal agreed by both parties before work begins. Scope changes agreed in writing.

Payment Terms

50% deposit before commencement. Remaining 50% due upon delivery. Non-refundable once development begins.

Intellectual Property

Upon full payment, Client owns all custom code and deliverables. Company retains right to showcase work in portfolio.

Confidentiality

Both parties keep confidential any proprietary information shared during engagement.

Limitation of Liability

Company total liability shall not exceed total fees paid for the specific project.

Governing Law

Laws of the State of Wyoming, USA. Disputes resolved in courts of Sheridan County, Wyoming.
